Compensation Trends and Current Issues
The regulatory, corporate governance, and accounting landscape for compensation arrangements has undergone significant change in a relatively short period of time. Factors effecting this change have included increased public and regulatory scrutiny of executive compensation, new IRS rules and regulations regarding "deferred compensation" under Section 409A, new SEC executive compensation disclosure rules, revelations related to stock option "backdating" issues and the related tax and accounting implications, and the adoption of SFAS 123(R) by most companies in 2006. These factors have resulted in the evolution of both compensation philosophies and related processes. Attendees listened as experts analyzed the impact of these issues on compensation strategies. The panel provided insight from the perspective of both management and the compensation committee, as well as from leading compensation consultants.
