Most finance and legal professionals these days are focused on defining process and building systems to ensure accurate financial reporting as required by Sarbanes Oxley. They are typically not thinking about whether a special price to a non-federal customer could trigger a liability under a government contract. But they should.
When a company is party to a government contract that includes a pricing clause, it must monitor prices and discounts to ensure that the government is receiving the prices promised under the contract. Sometimes companies fail to implement the processes or systems implied in their contracts. This is what auditors look for.

‘Intelligence Deficit’ Continues to Fuel M&A Activity in the Middle Market

The failure to identify Al Qaeda cells operating in the US since 2000, misjudgments regarding the weapons capability of the former Iraqi regime, and the inability to locate and target key decision-makers in terrorist groups are but the most glaring examples of the current US ‘intelligence deficit.’ The long list of failures has given rise to both an operational and fiscal dedication to rebuilding the country’s intelligence apparatus. Bolstered by strong Congressional support, the nation’s intelligence budget, estimated at $40 billion annually, is growing at an estimated 8-10% per year, far outpacing growth in other areas of government spending. Compounding this effect is an outsourcing trend that is accompanying the current expansion, creating substantial growth opportunities for firms with the qualifications and relationships necessary to support intelligence operations.
Industry’s ability to respond to these evolving trends, however, has been uneven. Unlike more conventional trends in government markets, many established players have been challenged to participate in the growing intelligence field. Barriers to entry include specialized skillsets, requisite security clearances, an established reputation for extraordinary customer service and flexibility, and perhaps most importantly, relationships with decision-makers within the Intelligence Community (“IC”).
